The service
Conduit gives your business an AI assistant that answers calls and texts, books visits, texts missed callers back, and briefs you every morning. It is an assistant, not a replacement for your judgment: it never states prices or handles money on your behalf, anything sensitive waits for your approval unless you explicitly grant autonomy, and emergencies are escalated to humans, never handled by the AI alone.
Eligibility & your account
- You must be at least 18 and authorized to enter these Terms on behalf of the business you sign up for. The business is the customer; you act for it.
- Keep your login credentials secure and don't share them. You are responsible for activity under your account. Tell us promptly at support@conduitapp.ai if you suspect unauthorized access.
- The information you give the assistant (prices, policies, business facts) is yours to keep accurate — it repeats what you configured.
Plans, caps & billing
- Each plan includes a fixed monthly allowance of voice minutes and text segments. At the cap the assistant degrades gracefully (voicemail + text-back). There is no overage billing and no auto-recharge, ever — you will never get a surprise bill for going over. If you need more capacity, you can buy one-time add-on packs; they never renew and never auto-charge.
- Prices are listed on the pricing page. Annual plans are billed up front for 10 months' price (two months free).
- Creating an account and building your assistant is free. You are charged only when you hire your assistant and take it live; the price is shown and confirmed before you pay, and you can cancel at any time. Payments are processed by Stripe — we never see or store your full card number.
Service limits & fair use
- Monthly allowance. Each plan includes a set number of voice minutes and text segments each month, listed on the pricing page. When you reach it, the assistant keeps picking up in message-only mode (voicemail + text-back) so no caller is turned away — those message-mode calls don't count against your allowance, and there is never an overage charge.
- Call length. Every call is capped at about three minutes, on every plan. As it nears the limit the assistant wraps up politely and follows up by text, so no single call can consume your month.
- Calls at the same time.The assistant can handle more than one call at once — something a single receptionist can't. That capacity runs on shared telephone and AI networks we depend on but don't fully control, so it is a best-effort capability, not a guaranteed number of simultaneous calls. In the rare event of an extreme spike or an upstream limit, an additional caller may be routed to voicemail or a fallback rather than connected live.
- Fair use. Plans are sized for the ordinary inbound call and text volume of the business you sign up. The service is not for autodialing, broadcast or bulk-messaging campaigns, robocalling, reselling call-center capacity, or generating artificial or automated traffic. We may throttle or suspend usage that is abnormal, or that endangers the shared phone-carrier standing that protects every business on the platform (see Suspension & termination, below).
These limits work alongside the disclaimer of warrantiesbelow: the service is provided “as available,” and we don't warrant it will be uninterrupted or catch every call.
Cancelling
- Cancel any time; service runs to the end of the paid period.
- No cancellation fees. No retention flows.
- When your paid period ends, your assistant is deactivated and your business phone number is released — there is no extended hold, so port or move the number before then if you want to keep it (we can help).
- You can export all of your data before or after cancelling.
Cancellation & refunds
- You can cancel any time from Billing. Your plan keeps working through the end of the period you have already paid for, and then stops — there are no cancellation fees or retention hoops.
- The current period is not refunded. This is a metered communications service: the calls and texts your assistant handled carry real underlying cost. One-time packs are non-refundable once purchased.
- Genuine billing errors and duplicate charges are always corrected and refunded in full.
- This policy is disclosed again at checkout, before you pay.
Your responsibilities
- The prices, policies, and business facts you give the assistant are yours — it repeats what you configured. Keep them accurate.
- Texting customers requires their consent. Conduit enforces STOP handling and quiet hours automatically, but the underlying customer relationship — and consent — is yours.
- Don't use the service for anything unlawful, for emergency dispatch services, or to send spam. We can suspend accounts that endanger our shared phone-carrier standing (this protects every other business on the platform).
Text messaging (SMS)
When you enable texting, you confirm that the customers you text gave you consent to be contacted, and you authorize Conduit to send SMS on your business's behalf. Message frequency varies with your call and booking volume, and standard message-and-data rates may apply to recipients. Every message honors STOP (opt out), START (opt back in), and HELP (assistance) instantly, and messages are sent only within TCPA quiet hours. Mobile carriers are not liable for delayed or undelivered messages.
Texting is not available immediately, and its start date is not something we control. US mobile carriers require every business that sends business text messages to be registered once, under its own legal name and business details, before any message can be delivered. We prepare and submit that registration on your behalf and follow it through, but the carriers conduct the review and decide the outcome and the timing. Registration typically completes within 1–3 weeks of signup and can take longer; we cannot approve, expedite, or guarantee it, and a carrier may request additional information or decline a registration on grounds outside our control. Accurate business information is your responsibility, and inaccurate details are the most common cause of delay or refusal.
Your plan price is for the assistant as a whole — it answers calls, books jobs, and sends confirmations and reminders by email throughout this period — and is not reduced or refunded for the time before texting activates. Carrier registration fees, once charged, are non-refundable as described in the cancellation section above. If a registration is ultimately refused and texting cannot be enabled for your business, you may cancel at any time (calls are unaffected).
What the AI will & won't do
- Every caller is told they're speaking with a recorded AI assistant.
- It never states prices on the phone — pricing stays yours to discuss.
- It never takes card numbers by voice.
- It can make mistakes. That's why sensitive actions require your approval and every action links to its evidence (the call, the transcript, the booking). Review what it does, especially early on.
Intellectual property
Conduit — the software, models' configuration, designs, and brand — belongs to Brainsmithy LLC. We grant you a limited, non-exclusive, non-transferable, revocable right to use it while your account is in good standing.
Your data stays yours.The business and customer data you bring or generate is yours; you grant us only the limited license needed to host and process it to provide the service (and to keep the anonymized, aggregated operational metrics needed to run and improve the platform). We don't claim ownership of your content, and we don't train AI models on it.
Disclaimer of warranties
The service is provided “as is” and “as available.”To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The assistant is a best-effort layer on top of telephone networks and AI providers we don't fully control; we don't warrant that it will be uninterrupted, error-free, or catch every call.
Limitation of liability
To the extent the law allows, our total liability for any claim is capped at what you paid us in the twelve months before the claim, and we are not liable for indirect, incidental, or consequential damages — including missed calls, missed bookings, or lost business. (This is the standard cap every software service carries; we state it plainly instead of burying it.)
Indemnification
You'll defend and indemnify Brainsmithy LLC against third-party claims arising from your use of the service in breach of these Terms — for example, texting people who didn't consent, the accuracy of the business facts you configured, or your relationship with your own customers. We'll tell you promptly of any such claim and let you control the defense of matters that are purely about your conduct.
Governing law & disputes
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law rules.
Let's talk first. If something goes wrong, email support@conduitapp.ai and give us 30 days to make it right — most things end here.
Arbitration & class-action waiver.If we can't resolve a dispute informally, you and Conduit agree it will be settled by binding individual arbitration administered by a recognized arbitration provider under its commercial/consumer rules, seated in Colorado or conducted remotely — not in court, and not before a jury. Either party may still bring an individual claim in small-claims court. You and Conduit waive the right to a jury trial and the right to participate in a class, collective, or representative action; disputes are resolved individually. Any matter not subject to arbitration will be heard exclusively in the state or federal courts located in Colorado.
This is a meaningful legal choice. If it isn't one you want, the simplest answer is not to use the service — but talk to us first; we would rather fix the problem.
Suspension & termination
We may suspend or terminate an account for breach of these Terms, non-payment, unlawful use, or conduct that endangers the shared phone-carrier standing that protects every business on the platform. Where practical we'll warn you first and give you a chance to fix it. You can cancel any time as described above.
Changes to these terms
We may update these Terms as the product and the law evolve. Material changes are emailed to account owners before they take effect; your continued use after that means you accept the updated Terms.
General terms
- Entire agreement. These Terms, the Privacy Policy, and any order or checkout confirmation are the whole agreement between us on this subject.
- Severability. If a provision is unenforceable, the rest stays in force.
- No waiver.Not enforcing a right once doesn't waive it later.
- Assignment. You may not assign these Terms without our consent; we may assign them to a successor (e.g. in a merger or acquisition) that honors them.
- Force majeure. Neither party is liable for delays caused by events beyond reasonable control (carrier outages, upstream provider failures, and the like).
